管理者收购一、管理者收购，英文原文为ManagementBuy-outs,简称MBO，是流行于欧美国家七八十年代的一种企业收购方式，又称"经理层收购"或"经理层融资收购"。所谓管理者收购，即目标公司的管理者或经理层利用借贷所融资本购买本公司的股权，从而改变本公司所有者结构、控制权结构和资产结构，进而达到重组本公司目的并获得预期收益的一种收购行为。在MBO中，企业管理人员通过外部融资机构帮助收购所服务企业的股权，从而完成从单纯的企业管理人员到股东的转变。二、MBO主要有以下几个特征：MBO的主要投资者是目标公司内部的经理和管理人员，他们往往对本公司非常了解，并有很强的经营管理能力；MBO主要是通过借贷融资来完成的，因此，MBO的财务结构由优先债、次级债与股权三者构成；MBO的目标公司往往是具有巨大资产潜力或存在"潜在的管理效率空间"的企业，通过投资者对目标公司股权、控制权、资产结构以及业务的重组，来达到节约代理成本、获得巨大的现金流入并给投资者带来超过正常收益回报的目的。MBO完成后，目标公司可能由一个上市公司变为一个非上市公司。三、MBO的几种方式：收购上市公司；收购集团的子公司或分支机构；公营部门私有化的MBO。MBO是对企业家人力资本价值的一种认可，是对公司法人治理结构的一种补充。分拆分拆指一个母公司通过将其在子公司中所拥有的股份，按比例分配给现有母公司的股东，从而在法律上和组织上将子公司的经营从母公司的经营中分离出去，这时，便有两家独立的（最初的）股份比例相同的公司存在，而在此之前，只有一家公司。广义的分拆包括已上市公司或者未上市公司将部分业务从母公司独立出来单独上市；狭义的分拆指的是已上市公司将其部分业务或者某个子公司独立出来，另行公开招股上市。
